  • Website Design, Development, and Maintenance.
  • Email Marketing and Lead Generation.

2. Service Agreement & Onboarding

A formal service agreement or digital marketing contract will be issued for every project. This contract will detail the specific Statement of Work (SOW), project timelines, and deliverables. These Terms and Conditions are incorporated by reference into any such agreement.

3. Fees and Payment Terms

  • Currency: All fees are quoted in Philippine Pesos (PHP) unless otherwise stated.
  • Payment Schedule: Most services require a 50% down payment before work commences, with the balance due upon completion or as per the monthly retainer schedule.
  • Taxes: In compliance with Bureau of Internal Revenue (BIR) regulations, all services provided within the Philippines are subject to applicable taxes (e.g., 12% VAT).
  • Late Payments: MRV Consultancy reserves the right to suspend services or access to digital assets if payments are overdue by more than [Number] days.

4. Intellectual Property Rights

  • Client Content: You retain ownership of all materials (logos, images, brand data) provided to us. You grant us a non-exclusive license to use these materials solely for your marketing campaigns.
  • Our Work Product: Upon full payment, the final deliverables (e.g., custom graphics, website code, ad copy) are transferred to the Client.
  • Agency Portfolio: MRV Consultancy reserves the right to display the work performed for you in our professional portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) is in place.

5. Third-Party Platforms

Our services often involve third-party platforms such as Google, Meta (Facebook/Instagram), TikTok, and LinkedIn.

  • Compliance: You agree to abide by the terms of service of these platforms.
  • Platform Changes: MRV Consultancy is not responsible for sudden algorithm changes, account suspensions, or policy updates initiated by these third-party platforms.

6. Performance Disclaimer

Digital marketing success depends on various external factors (competitor activity, platform algorithms, and market trends). While we apply industry-best practices, MRV Consultancy does not guarantee specific rankings, traffic numbers, or sales conversions unless explicitly stated in a performance-based contract.

7. Data Privacy (NPC Compliance)

In accordance with the Republic Act No. 10173, also known as the Data Privacy Act of 2012 (DPA) of the Philippines:

  • We implement strict technical and organizational measures to protect your data and your customers’ data.
  • We act as a “Data Processor” when handling your customer lists for marketing purposes.

8. Limitation of Liability

To the maximum extent permitted by Philippine law, MRV Consultancy by Marvigay Gonzales shall not be liable for any indirect, incidental, or consequential damages (including loss of profits) arising from the use of our digital services or any errors in third-party software/platforms.

9. Termination

Either party may terminate a service agreement with [Number] days’ written notice. Upon termination, the Client is responsible for paying for all work completed up to the termination date.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any legal actions or proceedings shall be brought exclusively in the courts of Makati City.
